1. Introduction
Welcome to Floristly. These Terms of Service ("Terms") govern your access to and use of the Floristly platform, available at floristly.app (the "Platform"). Floristly is a subscription-based flower marketplace that connects independent florists with flower enthusiasts.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
2. Definitions
- Platform — the Floristly website, applications, and all related services.
- Florist — a registered user who creates and sells flower subscriptions through the Platform.
- Buyer — a registered user who purchases flower subscriptions through the Platform.
- Subscription — a recurring arrangement between a Buyer and a Florist for periodic delivery of flower bouquets.
3. Account Registration
To use certain features of the Platform, you must create an account. When creating an account, you agree to:
- Be at least 18 years of age.
- Provide accurate, current, and complete information.
- Maintain the security and confidentiality of your login credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
4. For Buyers
As a Buyer on the Platform, you understand and agree to the following:
- Subscription Terms. Subscriptions are recurring commitments. Each subscription has its own frequency (weekly, biweekly, or monthly) and pricing as set by the Florist.
- Bouquet Preferences. You may indicate general preferences (colors, styles, occasions), but you cannot specify exact bouquet compositions. Each bouquet is crafted at the Florist's creative discretion using the freshest available flowers.
- Cancellation. You may cancel a subscription at any time. Cancellation takes effect at the end of the current billing cycle. No partial refunds are provided for the current period.
- Gift Subscriptions. You may purchase subscriptions as gifts for others. The recipient will need to provide delivery details to receive their bouquets.
5. For Florists
As a Florist on the Platform, you understand and agree to the following:
- Portfolio Content. You are solely responsible for the accuracy and quality of your portfolio content, including photos, descriptions, and pricing information.
- Delivery Commitments. You must fulfill deliveries according to your published schedule and delivery area. Repeated failure to deliver may result in account suspension.
- Pricing Transparency. All prices displayed on your profile must be accurate and include all applicable fees. Hidden charges are not permitted.
6. Payments
All payments are processed through the Platform. By making a purchase, you agree to pay the listed price plus any applicable delivery fees.
Refunds may be issued at our discretion in cases of non-delivery, significant quality issues, or other circumstances where the service was not provided as described. Refund requests must be submitted within 48 hours of the scheduled delivery.
7. Content
You retain ownership of all content you upload to the Platform, including photos, descriptions, and reviews. By uploading content, you grant Floristly a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Platform.
You represent that you have all necessary rights to the content you upload and that it does not infringe on any third-party rights.
8. Contact Exchange
The Platform does not prevent or restrict the exchange of contact information between Buyers and Florists. Users are free to communicate directly outside the Platform. However, transactions initiated through the Platform should be completed through the Platform.
9. Prohibited Conduct
You agree not to:
- Send unsolicited promotional messages or spam through the Platform.
- Engage in fraudulent activity, including creating fake accounts, fake reviews, or misrepresenting your identity.
- Harass, threaten, or intimidate other users.
- Upload content that is illegal, harmful, or violates the rights of others.
- Attempt to gain unauthorized access to the Platform or other users' accounts.
- Use the Platform for any purpose other than its intended use.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Floristly and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.
For significant changes, we will make reasonable efforts to notify you via email or through the Platform.
